Beside Terms of Use

Beside Is Not an Emergency Service

Read this carefully before using Beside. By using the App you accept these terms, including the limits on our liability.

1. Not a substitute for emergency services. Beside (the "App"), operated by Nanoologi Ltd. ("Nanoologi," "we"), lets you share your location with people you choose and alert them. It does not contact police, ambulance or any emergency service on your behalf, and nobody at Nanoologi monitors sessions or alerts. If you are in danger, call your local emergency number.

2. Your circle members are not responders. The people in your circle are private individuals. We do not control whether they see a notification, open the App, or act on it, and they owe you no duty through the App.

3. Delivery is not guaranteed. The App depends on things outside our control, including battery, mobile signal, GPS reception, operating-system limits on background apps, notification settings and Focus modes, and third-party push services. Location may be inaccurate or delayed, and notifications, including SOS alerts, may arrive late or not at all. You use the App at your own risk.

1. Terms of Use

1.1 Eligibility

You must be at least 16 years old to use Beside. You must have the legal capacity to accept these terms.

1.2 Your account

You sign in with Apple or Google (or, where offered, with an email address and password) and are responsible for keeping your device and sign-in secure. You may delete your account at any time from the App's settings.

1.3 Circles and consent

A person joins your circle only by accepting your invite in the App, and either of you can end the relationship at any time. You may use the App only to share your own location, and only with people who have accepted. You must not use the App, or any account, device or invite, to track, monitor or locate any person without their knowledge and consent, to stalk, harass or control anyone, or to send false SOS alerts.

1.4 Sessions, SOS and check-ins

Location is shared only while you have a session on. SOS alerts, check-ins and "no signal" notices are aids that may help your circle notice a problem; they are not monitored by us and may fail. Please test the App with your circle before you rely on it, keep notifications enabled and your phone charged, and tell your circle what you expect them to do if they get an alert.

1.5 Intellectual property & license

We grant you a personal, non-transferable, revocable license to install and use the App for private, non-commercial use. You may not copy, reverse-engineer, decompile or attempt to extract the source code of the App, or interfere with its services. All trademarks, names and software rights belong to Nanoologi.

1.6 Suspension

We may suspend or close accounts used in breach of these terms, in particular to track people without consent or to send abusive or false alerts.

1.7 Warranty disclaimer

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, NANOOLOGI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, AVAILABILITY, ACCURACY OF LOCATION, AND DELIVERY OF NOTIFICATIONS OR ALERTS. WE DO NOT GUARANTEE THAT THE APP WILL PREVENT ANY INCIDENT, INJURY OR DEATH.

1.8 Indemnification & liability cap

Indemnification: You agree to indemnify and hold harmless Nanoologi, its founders, employees and contractors from claims, losses and costs (including legal fees) arising from your misuse of the App or your breach of these terms, including use of the App to track another person without consent.
Liability cap: To the maximum extent permitted by law, our total aggregate liability for any claim relating to the App is limited to the greater of the amount you paid us for the App in the twelve months before the claim or $50.00 USD. Nothing in these terms limits liability that cannot be limited by law.

1.9 Changes

We may update these terms. Material changes will be announced in the App or via the "Last updated" date above; continued use after changes take effect means you accept them.

1.10 Governing law & jurisdiction

These terms and any dispute arising from them are governed exclusively by the laws of the State of Israel. You consent to the sole and exclusive jurisdiction of the competent courts located in the Center District, Israel.

2. Privacy

How we collect, use and delete your data, including location and health data, is described in the Beside Privacy Policy, which is part of these terms.

3. App Store and Google Play

3.1 Apple

These terms are between you and Nanoologi, not Apple Inc. Apple has no obligation to provide maintenance or support for the App and is not responsible for any claim relating to it, including product liability claims, claims that the App fails to conform to legal or regulatory requirements, and consumer protection claims. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

3.2 Google

If you obtained the App from Google Play, these terms are between you and Nanoologi, not Google LLC, and Google Play's terms also apply to your use of the store.
